1. Purpose
These Terms of Sale govern the sale of services provided by Ges-sco. They take precedence over any other document unless otherwise agreed in writing.
2. Services provided
Ges-sco offers a cloud software solution for managing educational institutions (enrollments, grades, billing, etc.). Specifications, service levels and included modules are detailed in the contract and commercial documentation.
3. Subscription & billing
Services are provided as monthly or annual subscriptions. Applicable rates are those in effect at the date of the order. Billing is done by direct debit or invoice according to the contractual agreement.
- Payment methods: credit card, wire transfer, direct debit.
- Payment terms: as per the invoice. Late payments may incur penalties.
- Taxes: prices are expressed before tax unless stated otherwise.
4. Duration & termination
Subscriptions are concluded for the duration indicated in the contract and are automatically renewed unless written notice is given within the specified timeframe. Termination may result in loss of access to services and fees as per the contract.
5. Support & maintenance
Ges-sco provides technical support according to the contractual service level. Planned maintenance interruptions are communicated in advance.
6. Warranties & liability
Ges-sco uses reasonable means to ensure the availability and security of the service. Warranties are those provided for in the contract. Ges-sco's liability is limited under the conditions provided by law and the contract.
7. Intellectual property
The software, documentation and provided materials remain the exclusive property of Ges-sco. The client is granted a non-exclusive, non-transferable license to use.
8. Data & GDPR
Personal data processing carried out as part of the services complies with the GDPR. Responsibilities, retention periods and security measures are specified in the Privacy Policy and the DPA (Data Processing Agreement) if applicable.
9. Force majeure
Neither party shall be held liable in cases of force majeure making performance impossible or delayed.
10. Disputes
These terms of sale are subject to French law. In case of dispute, the competent courts shall be those of the registered office, unless otherwise mandated.
